  1. Acceptance of Terms
    By accessing or using the platform, website, or any related services (“Service”) provided by Validfor OÜ (“Validfor”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
  2. User Accounts
    To access certain Service features, you may need to create an account. You are solely responsible for maintaining the confidentiality of your credentials and for all actions performed under your account. Validfor is not responsible for any loss or damage resulting from unauthorized use of your account, regardless of whether such access was authorized by you. Validfor reserves the right to suspend or close accounts that are inactive, misused, or in breach of these Terms.
  3. Permitted Use
    The Service is intended for lawful business purposes in accordance with applicable regulations. You agree not to:
  • Attempt unauthorized access to any system, data, or network related to the Service.
  • Use the Service to process or transmit unlawful, defamatory, or infringing content.
  • Interfere with or disrupt the operation, integrity, or security of the Service.
  • Use the Service in a manner inconsistent with its intended validation and compliance management purpose.

Validfor may suspend or terminate access immediately if such violations are suspected, without liability or obligation to refund.

  1. Fees and Payments
    Access to paid modules or enterprise plans of the Service requires valid payment under the applicable subscription agreement. Fees are non-refundable except where explicitly required by law. Payment obligations are not subject to offset or cancellation. Validfor reserves the right to adjust pricing and payment terms at any renewal. Failure to make payment on time may result in immediate suspension or termination of access.
  2. Intellectual Property
    All software, source code, user interfaces, documentation, training materials, and other intellectual property related to the Service are and shall remain the exclusive property of Validfor OÜ or its licensors. No rights or licenses are granted except the limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Any attempt to reverse-engineer, modify, copy, sublicense, or resell the Service is strictly prohibited and constitutes a material breach.
  3. Data Ownership and Privacy
    All data uploaded or entered by customers (“Customer Data”) remains the property of the customer. Validfor may process Customer Data only for the purpose of providing, maintaining, and improving the Service. Validfor implements and maintains appropriate technical and organizational security measures but does not guarantee absolute protection against unauthorized access.

Validfor is not liable for any loss, corruption, or disclosure of Customer Data arising from the customer’s configuration choices, integrations, or third-party systems. Customers are solely responsible for ensuring that their use of the Service complies with applicable laws and regulatory obligations. Use of the Service is also governed by the [Privacy Policy].

  1. Regulatory and Compliance Responsibility
    Validfor provides tools to support validation, documentation, and compliance processes in regulated industries. However, Validfor does not act as a validation authority, auditor, or regulatory certifier. The customer retains full and exclusive responsibility for achieving and maintaining compliance with applicable laws, standards, and guidelines (including GAMP 5, 21 CFR Part 11, and Annex 11).
  2. Service Availability and Updates
    Validfor aims to provide reliable and continuous Service but does not guarantee uninterrupted or error-free operation. Scheduled maintenance or force majeure events may temporarily affect availability. Validfor may modify or discontinue features, modules, or access methods at its discretion, provided that core functionality of active subscriptions is maintained.
  3. Disclaimer of Warranties
    The Service is provided on an “as is” and “as available” basis without any express, implied, or statutory warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. No advice or information obtained from Validfor shall create any warranty not expressly stated in these Terms.
  4. Limitation of Liability
    To the fullest extent permitted by law, Validfor OÜ, its directors, employees, and affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to loss of profits, business interruption, loss of data, or reputational harm arising from the use or inability to use the Service.

In all cases, Validfor’s total aggregate liability shall be limited to the total amount paid by the customer for the Service during the twelve (12) months immediately preceding the claim. Certain jurisdictions may not allow such exclusions; in such cases, Validfor’s liability shall be limited to the minimum extent permitted by applicable law.

  1. Indemnification
    You agree to indemnify, defend, and hold harmless Validfor OÜ, its affiliates, and employees from and against all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:
  • Your breach of these Terms,
  • Your misuse of the Service,
  • Any violation of law or third-party rights by you or your organization.
  1. Termination
    Validfor may terminate or suspend your access at any time for breach, misuse, or non-payment. Termination does not relieve you of any outstanding payment obligations. Upon termination, all rights granted to you cease immediately. Validfor has no obligation to retain Customer Data beyond 30 days following termination unless otherwise required by law.
  2. Modifications to the Terms
    Validfor reserves the right to revise or update these Terms at any time. Revised versions will take effect upon publication atwww.validfor.com. Your continued use of the Service after the update constitutes acceptance of the revised Terms.
  3. Governing Law and Jurisdiction
    These Terms shall be governed by and construed in accordance with the laws of Estonia and applicable European Union regulations. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.
